These Terms of Service ("Terms") govern your access to and use of the website at gemiry.com, the applications we make available for download ("Apps"), and any related services we provide (together, the "Services"), operated by Gemiry Company Limited ("Gemiry," "we," "us," or "our"). By using the Services, you agree to these Terms. If you do not agree, please do not use the Services.
An individual App may also have its own terms and privacy policy, which apply in addition to — and, where they conflict, instead of — these Terms for that App.
1. Use of the Services
You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services in any way that could damage, disable, overburden, or impair them, or interfere with anyone else's use of them.
2. Downloading and installing our Apps
By downloading, installing, or using any of our Apps, you agree to these Terms and Conditions and to any App-specific terms that apply. If you do not agree, please do not download, install, or use the App.
Our Apps are made available through third-party platforms such as the Apple App Store, Google Play, and the Microsoft Store. When you download, install, and use an App, the following terms apply:
- License. We grant you a personal, non-exclusive, non-transferable, revocable, limited license to download, install, and use the App on a device that you own or control, for your own lawful, non-commercial use, subject to these Terms and any App-specific terms.
- App store terms. Your download and installation are also subject to the terms and policies of the store you obtain the App from. Any purchases, subscriptions, billing, renewals, and refunds are handled by that store under its terms, not by us.
- Device and compatibility. You are responsible for ensuring your device meets the App's requirements and for any data or carrier charges incurred when downloading or using the App.
- Updates. We may release updates, and the App or your store may download and install them automatically. Some updates may be required for the App to keep working correctly.
- Restrictions. You may not copy, redistribute, rent, lease, sell, sublicense, modify, reverse engineer, decompile, or disassemble the App, except to the extent that applicable law expressly permits it.
- Reservation of rights. The App is licensed, not sold. We and our licensors retain all rights, title, and interest in and to the App that are not expressly granted to you.
3. Intellectual property
The Services and their content — including text, graphics, logos, and design — are owned by Gemiry or its licensors and are protected by applicable laws. You may not copy, modify, distribute, or create derivative works from our content without our prior written permission, except as permitted by law.
4. Acceptable use
You agree not to:
- Use the Services for any unlawful or fraudulent purpose;
- Attempt to gain unauthorized access to the Services or their related systems;
- Probe, scan, or test the vulnerability of the Services, or breach any security or authentication measures; or
- Use automated means to scrape or harvest data from the Services.
5. Submissions
If you send us enquiries, feedback, or job applications, you grant us permission to use that information to respond to you and to operate our business. Please do not send us confidential information that you do not wish us to use for these purposes.
6. Third-party links and services
The Services may contain links to, or rely on, third-party websites, stores, or services that we do not control. We are not responsible for the content or practices of those third parties, and these Terms do not apply to them.
7. Disclaimer of warranties
The Services and Apps are provided "as is" and "as available" without warranties of any kind, whether express or implied, to the maximum extent permitted by law. We do not warrant that the Services will be uninterrupted, error-free, or secure.
8. Limitation of liability
To the fullest extent permitted by law, Gemiry will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising out of or relating to your use of the Services or Apps.
9. Termination
We may suspend or terminate your access to the Services, or revoke the license to any App, at any time if you breach these Terms. You may stop using the Services and uninstall our Apps at any time.
10. Changes to the Services and Terms
We may modify or discontinue the Services at any time, and we may update these Terms from time to time. When we update these Terms, we will revise the "Last updated" date above. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
11. Governing law
These Terms are governed by the laws of Vietnam, without regard to its conflict-of-laws rules, except where applicable local law requires otherwise.
